TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern your access to and
use of the services offered by Centratech Infosolution Private Limited (“Centra
Pay”, “we”, “us” or “our”) through the website https://centrpay.in and
any mobile applications (together, the “Platform”). By registering on,
accessing or using the Platform or any services offered through it, you (“You”,
“Your” or “User”) agree to be bound by these Terms along with the
Privacy Policy and any other policies posted on the Platform.
Please read these Terms carefully before using the Platform. If You do
not agree to any of these Terms, please do not use the Platform or avail the
Services.
1. General Terms
These Terms, together with the Privacy Policy and other policies that
may be applicable from time to time, govern the relationship between You and
Centra Pay. They constitute a binding agreement between You and Centra Pay. No
physical or digital signature is necessary to validate this Agreement.
The Platform and the Services are provided subject to these Terms. Use
of the Platform also remains subject to any rules applicable to the app stores
(e.g., Google Play Store, Apple App Store) if you use the mobile application.
2. Acceptance of the Terms
You represent and warrant that you are at least 18 years old (if an
individual) and legally competent to enter into binding contracts.
Organizations using the Platform represent that they have all necessary
authority to accept these Terms on behalf of the entity.
You accept these Terms either by checking an “I AGREE” box, clicking to
accept, or by accessing or using the Services. These Terms may be updated by
Centra Pay at any time; the most current version posted on the Platform will
apply. Continued use after modifications constitutes acceptance of the revised
Terms.
3. Description of Services
Centra Pay offers technology-enabled payment facilitation and related
services, including but not limited to:

BBPS bill payments, mobile and DTH recharges, data card recharges;
·
Education fee collection, insurance premium collection, grocery and
merchant payment facilitation;
·
Business tools for merchants such as dashboards, reconciliation, and
reporting;
·
Integration APIs for payment processing and accounting systems, where
applicable;
·
Value-added services or integrations with third parties (e.g., banks,
NBFCs, payment gateways) as offered from time to time.
Centra Pay may modify, suspend, or discontinue any Service or feature at
its discretion. Any branded product or service offered under a separate
subdomain or brand may be governed by distinct terms.
4. Registration and Onboarding
To use certain Services, You must register and create an account (“Account”).
During registration we may collect information including Your name, contact
details, PAN/Aadhaar (where required by law), business documents (if
applicable), and other information necessary for identity verification and
compliance.
You must provide accurate, current and complete information during
registration and keep it updated. You are responsible for keeping Your
Credentials (user ID and password) confidential and for all activities under
Your Account. Notify Centra Pay immediately if You suspect any unauthorised use
of Your Account.
You authorise Centra Pay (directly or through third parties) to make
inquiries and obtain information necessary to validate identity and comply with
applicable laws.

5. License to the Platform
Subject to Your compliance with these Terms, Centra Pay grants You a
limited, revocable, non-exclusive, non-transferable right to access and use the
Platform to obtain the Services. You shall not sublicense, resell, copy,
reproduce, distribute, reverse-engineer, or create derivative works from any
part of the Platform except as expressly authorised in writing.
6. Third-Party Service Providers
Centra Pay uses third-party partners (payment gateways, banks, cloud
providers, analytics vendors, customer support vendors, etc.) to provide
Services. While we exercise due care in selecting partners and impose
contractual confidentiality/security obligations, Centra Pay is not liable for
their acts or omissions. Any contractual terms between You and a third party
are solely between You and that third party.
7. Fees for Use of Services
Certain Services may attract fees (“Fees”) which will be
disclosed to You before completing a transaction. All Fees paid to Centra Pay
are non-refundable unless explicitly stated or required by law. Applicable
taxes (e.g., GST) will be added at checkout and borne by You. Centra Pay may
revise Fees from time to time; revised Fees will apply prospectively.
8. Availability of Services
Services may be unavailable intermittently due to maintenance, technical
issues, geographic restrictions, or third-party outages. Centra Pay will use
reasonable efforts to maintain availability but is not liable for interruptions
beyond its control.
9. Platform Content & Intellectual Property
All content on the Platform (including but not limited to software,
text, graphics, trademarks, logos, data, and images) is the property of Centra
Pay or its licensors and is protected by copyright, trademark and other
intellectual property laws. You shall not copy, reproduce, modify, publish,
transmit, distribute or create derivative works from Platform content without
Centra Pay’s prior written consent.
10. Platform Management
Centra Pay reserves the right to monitor the Platform for policy
violations, remove or restrict access to content or Accounts that violate these
Terms, and take any actions necessary to protect the Platform, its users, and
Centra Pay’s rights.
11. Third-Party Applications
The Platform may integrate or interoperate with third-party applications
or services. Use of such third-party applications may require acceptance of
additional terms and privacy policies. Centra Pay is not responsible for those
third-party terms or the functionality of such applications.
12. User Representations
By using the Platform, You represent and warrant that:

You have the legal capacity to enter into these Terms and will comply
with them;
·
You are not a minor;
·
You will not access the Platform through automated means (bots/scripts)
without prior written permission;
·
You will not use the Platform for unlawful or unauthorised purposes;
·
The information You provide is true, accurate, and complete.
Centra Pay may suspend or terminate Accounts that provide false
information or violate these Terms.
13. No Lending or Credit Guarantee
Centra Pay facilitates connections with financial service providers but
does not itself provide credit or lending. Any credit or lending feature is
provided by a third-party bank or NBFC and governed by separate agreements
between You and that lender. Centra Pay does not guarantee loan approvals or
decisions made by lenders.
14. Undertakings by Users
You agree to:

Use your Account only for genuine and lawful transactions;
·
Not undertake or facilitate illegal, fraudulent, or prohibited
activities;
·
Respect privacy and use any third-party personal data only to complete
transactions and not to misuse or sell it;
·
Promptly notify Centra Pay of any change in contact or business status;
·
Not attempt to harm, overload or interfere with the Platform, including
uploading malware or engaging in DDoS attacks;
·
Comply with applicable tax obligations connected to transactions on the
Platform.
Centra Pay may suspend or terminate Accounts for breach and seek
appropriate remedies.
15. Specific Transaction Terms
Centra Pay is not responsible for disputes between You and a payee
(e.g., goods quality, delivery or product disputes). Transaction timing and
settlement depend on biller systems, banks, and payment processors; Centra Pay
cannot guarantee absolute timing. You must ensure correctness of details before
initiating any transaction. Centra Pay may impose transaction limits and may
refuse transactions exceeding those limits.
16. Prohibited Activities
You shall not:

Use the Platform to scrape or replicate our data to create competing
services;
·
Defraud, mislead, or manipulate other users or Centra Pay;
·
Attempt to bypass Platform security or impersonate others;
·
Upload harmful content (malware, spyware, or illegal content);
·
Use automated scripts or bots in violation of these Terms;
·
Use the Platform to directly compete with Centra Pay in a manner that
violates these Terms.
Centra Pay may withhold funds, reverse transactions, or take other
measures if misuse is suspected.
17. Privacy Policy
Your use of the Platform is governed by Centra Pay’s Privacy
Policy available at https://centrpay.in/privacy-policy(incorporated
herein by reference). By using the Platform, you consent to transfer and
process your data in India in accordance with that Policy.
18. Disclaimer and Limitation of
Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND SERVICES ARE
PROVIDED “AS IS” AND “AS AVAILABLE.” CENTRA PAY DISCLAIMS ALL WARRANTIES,
WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CENTRA PAY DOES NOT
WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
IN NO EVENT SHALL CENTRA PAY, ITS OFFICERS, DIRECTORS, EMPLOYEES OR
AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR
CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OR
REPUTATIONAL DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM,
SERVICES, OR THIRD-PARTY SERVICES, EVEN IF CENTRA PAY HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
19. Indemnity
You agree to indemnify, defend and hold harmless Centra Pay and its
officers, directors, employees, agents and affiliates from and against any
claims, losses, liabilities, damages, costs and expenses (including reasonable
legal fees) arising from or related to:

Your breach of these Terms or applicable laws;
·
Your use of the Platform or the Services;
·
Any claim that your content or transactions infringe or violate
third-party rights.
Centra Pay may assume exclusive defence and control of any matter
subject to indemnity.
20. Force Majeure
Centra Pay is not liable for failure or delay in performance caused by
events beyond its reasonable control, including natural disasters, strikes,
governmental actions, pandemics, war, acts of terrorism, or
telecommunications/hosting failures.
21. Termination
Centra Pay may suspend or terminate your Account and access to the
Platform for violation of these Terms, suspected fraud, or other improper
conduct. On termination, Centra Pay may retain certain Account information as
required for legal, tax, or audit purposes. You may cancel your Account by
contacting info@centrpay.in.
22. Confidentiality
Each party shall keep confidential non-public information received from
the other party and shall not use it except to perform obligations under these
Terms. This obligation survives termination, except where the information becomes
public through no fault of the receiving party or is compelled by law (in which
case the disclosing party will be notified where legally permissible).
23. Miscellaneous

Centra Pay may amend these Terms at any time. Updated Terms will be
posted on the Platform; continued use constitutes acceptance.
·
Nothing in these Terms creates an employment, partnership, franchise or
agency relationship.
·
You may not assign your rights or obligations without Centra Pay’s prior
written consent; Centra Pay may subcontract or assign rights to third parties.
·
These Terms are governed by the laws of India. Any disputes shall be
subject to the exclusive jurisdiction of the courts at Surat, Gujarat.
·
If any provision is held invalid or unenforceable, the remainder of the
Terms remains in force. Failure to enforce a right does not constitute waiver.
